General Terms & Conditions

These terms apply to handyperson services, courier and small freight transportation, recycling of specialty materials, light demolition, dismantling and junk removal, cleaning and waste removal, equipment maintenance, and related services provided by ProValue Services Canada.

Request Service

1. Services

ProValue Services Canada (PVSC) provides handyperson services, courier and small freight transportation, recycling of specialty materials, light demolition, dismantling and junk removal, cleaning and waste removal, and equipment maintenance. All services are delivered in accordance with the agreed scope of work between PVSC and the Client. PVSC reserves the right to modify, suspend, or refuse services where site conditions are unsafe, materially different from what was disclosed, or outside the agreed scope.

2. Client Responsibilities

The Client is responsible for ensuring that the worksite is safe, accessible, and suitable for the performance of services. This includes providing unobstructed access, necessary permissions, and adequate parking. The Client must disclose all hazards and secure or remove fragile or valuable items prior to service. PVSC is entitled to rely on the accuracy of information provided and is not responsible for issues arising from incomplete or inaccurate disclosures.

3. Hazardous Materials

PVSC does not accept or handle hazardous materials, including chemicals, asbestos, or biohazardous substances. If such materials are encountered, PVSC reserves the right to immediately suspend or terminate services without liability, and the Client remains responsible for costs incurred up to that point.

4. Pricing and Payment

All invoices issued by PVSC are due within forty-five (45) days of the invoice date unless otherwise agreed in writing. Overdue amounts will accrue interest at a rate of 1.5% per month or the maximum permitted by law. The Client is responsible for any reasonable costs incurred in the collection of overdue payments, including legal or administrative fees.

5. Cancellation and Scheduling

The Client agrees to provide reasonable notice for any cancellation or rescheduling of services. PVSC reserves the right to charge reasonable fees where insufficient notice is provided or where services cannot proceed due to Client-related delays, including lack of access.

6. Service Guarantee

PVSC warrants that all services will be performed in a professional and workmanlike manner in accordance with applicable industry standards. Any concerns regarding service quality must be reported within twenty-four (24) hours of completion. PVSC will, at its discretion, re-perform the affected services or provide a reasonable remedy.

7. Independent Contractors

PVSC may engage qualified independent contractors to perform all or part of the services. These contractors operate as independent entities and are not employees, partners, or agents of PVSC. While PVSC exercises reasonable diligence in selecting and coordinating contractors and stands behind the overall quality of services, PVSC is not liable for acts or omissions of contractors that are outside of its reasonable control.

8. Limitation of Liability

To the fullest extent permitted by law, PVSC's total liability for any claim arising out of the services shall be limited to the amount paid for the specific services giving rise to the claim, and in no event shall exceed $5,000. PVSC shall not be liable for indirect, incidental, or consequential damages, including loss of profits or business interruption, and shall not be responsible for pre-existing damage.

9. Damage and Loss

PVSC will exercise reasonable care in performing services. Any claims for damage must be reported within twenty-four (24) hours. PVSC is not responsible for damage to items not identified as fragile, damage arising from undisclosed hazards, or normal wear and tear associated with the services.

10. Light demolition, dismantling, and junk removal

All items collected for removal become the property of PVSC upon pickup unless otherwise agreed in writing. The Client represents that it has the legal authority to dispose of such items and agrees to indemnify PVSC against any claims related to ownership.

11. Right to Refuse or Cease Work

PVSC reserves the right to refuse or cease services where conditions are unsafe, the scope differs materially from what was agreed, or the Client fails to comply with these Terms. The Client remains responsible for payment for all services performed up to that point.

12. Insurance

PVSC maintains commercial general liability insurance coverage of up to $2,000,000 per occurrence.

13. Indemnification

The Client agrees to indemnify and hold harmless PVSC from any claims, damages, or expenses arising from the Client's breach of these Terms, inaccurate information, or unsafe conditions at the worksite.

14. Force Majeure

PVSC shall not be liable for delays or failures in performance resulting from events beyond its reasonable control, including weather events, accidents, or supply disruptions.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and applicable federal laws of Canada. Any disputes shall be resolved in the courts of Ontario.

16. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior discussions or agreements. PVSC may update these Terms from time to time, and the most current version shall apply.
